About the Role
Validity’s legal team is looking for an in-house attorney with SaaS industry experience to act as a partner to our B2B sales and account teams and other key stakeholders. As a partner for Validity’s sales teams, you'll assist with drafting, redlining, and negotiating contracts with a wide variety of customers and partners around the world. As an in-office representative of Validity’s legal team, you will respond to questions on a wide range of issues from leadership and front-line teams daily. Reporting to the head of legal, you'll also assist with vendor documentation, work on privacy-related developments, train sales teams and other Validity stakeholders on legal updates and processes, work closely with finance and sales operations partners both to close deals and to overhaul inefficient processes, and develop and execute legal projects as required by our internal customers.

Position Duties and Responsibilities
  • Serve as the legal partner for our sales teams and provide a range of legal advice to internal stakeholders and requesters.
  • Draft, review, and negotiate agreements with SaaS customers, business development partners, and other parties.
  • Assist with privacy-related developments to documents and respond to privacy concerns from customers, in addition to supporting other privacy efforts internally.
  • Direct the efforts of a cross-functional team (including finance, sales operations, product operations, support, and security) to ensure that agreements adequately protect the company’s interests while meeting clients’ needs.
  • Partner with other internal stakeholders, manage and triage high-priority escalations with little supervision.
  • Develop and implement templates and legal operations designed to handle deal flow in a timely, scalable, and efficient manner, aligning with internal policies and mitigating risks.
  • Research and recommend standard terms and negotiation strategies, particularly for heavily negotiated issues, based upon industry practices and evolving legal trends.
  • Continue legal skills and education development and stay informed about relevant developments in the legal, privacy, and SaaS industries.
Required Experience, Skills, and Education
  • Admitted to practice law (or have the ability to be admitted as authorized in-house counsel) in Massachusetts, with relevant experience.
  • Experience with SaaS agreements - you know what each clause does, what each party cares about most, and how to resolve impasses.
  • Familiarity with data processing, data security, and privacy obligations – you are able to spot issues and speak in detail about the most common customer concerns with sophisticated enterprise procurement teams.
  • Experience handling a large docket and numerous partners – you work with leadership to prioritize, know when to delegate, and set and manage internal and external expectations.
  • Ability to identify and succinctly summarize contractual risk and obligations to internal parties – you are detail focused, have solid legal and business judgment, and communicate nuanced points concisely and aptly, adjusting for your audience.
  • Team spirit and well-developed service ethic – you are driven to be an excellent teammate to your legal colleagues, to provide outstanding service to internal and external clients, and to meet deadlines and provide solutions without alienating stakeholders.
  • Ability to work in our Boston (Financial District) office 3 days per week (Tuesdays, Wednesdays, and Thursdays). 
Preferred Experience, Skills, and Education
  • Legal experience in a similar work environment preferred (i.e. fast-paced and efficient in-house corporate legal department).
  • IAPP Certification or other privacy-related experience preferred.
